Terms of Service

Nex Books is cloud software for sales, purchases, inventory and accounts, provided as a subscription. We work to keep it available at all times, but we cannot guarantee uninterrupted service. Planned maintenance is announced in advance wherever possible.

You are responsible for the users you add, for keeping their sign-in details secure, and for everything done under your account. We strongly recommend two-factor sign-in for every user. Tell us promptly if you suspect anyone has accessed your account without permission.

The business records you enter remain yours. We host them and back them up, we never sell them, and we access them only to provide the service, to help you when you ask, to keep the service secure, or when the law requires it. You can download a complete copy of your data from Nex Books at any time. How we handle personal data is explained in our Privacy Policy.

Nex Books is a tool. You are responsible for the accuracy of what you enter, for checking the documents and reports it produces, and for your own VAT, tax and legal obligations, including filings with the Federal Tax Authority and keeping your records for as long as the law requires. Nex Books does not give tax, legal or accounting advice.

You may not use Nex Books for anything unlawful; try to access another customer’s data or interfere with the service; or copy, resell, reverse-engineer or sublicense the software. We may suspend access immediately if your use puts the service or other customers at risk.

Fees are as agreed in your quotation or as published on our website, and are billed yearly in advance. Prices are exclusive of any taxes that apply by law. If a payment is overdue we will remind you; if it remains unpaid, your workspace may become read-only and later be suspended until payment is made. If your subscription ends, section 13 applies.

A free trial gives you Nex Books for the period we offer. When a trial ends without a subscription, your workspace becomes read-only. If no subscription starts, your data is deleted 60 days after the trial ends.

If you cancel within 30 days of your first subscription starting, we refund the subscription fee for that first year. One-time customisation fees and the annual maintenance contract (AMC) are not refundable. After those first 30 days, and on renewals, fees are not refundable. If we end the service ourselves, other than for non-payment or misuse, we refund the fees for the unused part of your subscription.

Customisations are quoted and agreed separately. Nex Books, including any customisations we build, remains our property; you may use them for as long as your subscription is active.

The first year of your subscription includes setup, training and support. From the second year, support — help with questions, troubleshooting and training for new staff — is provided under the optional AMC; without it, support is quoted per request. Faults in the software itself are always fixed as part of your subscription, with or without the AMC. Support is provided on UAE business days.

We improve Nex Books over time and may change or add features. We will publish any price change on our website at least 60 days before it applies at your renewal. Prices agreed in a quotation stand for the periods that quotation covers.

Either of us may end the subscription at the end of a subscription year by giving notice before the renewal date. We may also end it if fees remain unpaid or these terms are seriously breached. After it ends, your workspace stays available read-only for 60 days so you can download your data; after that, your data is permanently deleted. Please download and keep your records before then.

We are not liable for indirect or consequential losses, such as lost profits, lost business or the cost of correcting data, nor for losses caused by data you entered or by decisions you made using it. Our total liability for any claim is limited to the fees you paid us in the twelve months before the claim. Nothing in these terms limits any liability that cannot be limited under UAE law.

Each of us will keep the other’s confidential information private and use it only for the purposes of this service.

We may change these terms at any time. We will tell you by email or in Nex Books before a change takes effect, and the date of the latest update is shown at the top.

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Abu Dhabi, and the courts of Abu Dhabi have jurisdiction over any dispute.
